General Conditions of Use of the Site

TerraLabs Partners is a company whose raison d'être is to promote sustainable innovation and the development of startups and solutions capable of bringing us closer to carbon neutrality goals. TerraLabs' main role is to create partnerships to test, build, validate and evolve early-stage innovations. Access to the Site by the User implies unreserved acceptance of the CGU.

The purpose of these terms of use (the “CGU”) is to govern the relationship between TerraLabs Partners, a simplified joint stock company with a single shareholder, registered in the Paris Companies Register (UNDER INCORPORATION) under the number [IN PROCESS OF INCORPORATION], having its registered office at 229, rue Saint-Honoré 75001 Paris (hereinafter “TerraLabs”), and the user (hereinafter the “User”) of the site accessible at The following URL https://terralabs.partners/ (hereinafter the “Site”) as to the conditions of use of the Site.

ARTICLE 1: ACCESS TO SERVICES
To access the Services, the User must contact TerraLabs using the contact form available on the Site, accurately filling in the information requested. Users certify that they are of legal age when they contact them. The User guarantees that all information provided is accurate, up to date and accurate. If the data provided proves to be inaccurate, TerraLabs reserves the right to suspend exchanges or access to the Services until the information is corrected. Any company can benefit from TerraLabs' expertise to develop innovative and sustainable solutions. To do so, the company must contact TerraLabs via the contact form available on the Site. The terms of use of the services are subject to the conclusion of a specific contract between TerraLabs and the User. TerraLabs offers its services to companies and investors for the development of innovative and sustainable projects. These services are also subject to the conclusion of a specific contract between TerraLabs and the User.

ARTICLE 3: INTELLECTUAL PROPERTY RIGHTS OF TERRALABS
TerraLabs is the owner of all intellectual property rights to the brands and contents present on the Site. No stipulation of the Terms of Use grants the User a right of ownership or exploitation of brands or other elements protected by TerraLabs intellectual property rights. The User may therefore not use any TerraLabs visual, logo, or communication medium without their express written consent. The User undertakes to inform TerraLabs of any fraudulent use of brands, logos or visuals of which he is aware, and to assist TerraLabs in the preservation of his rights.

ARTICLE 4: RESPONSIBILITY
The User is solely responsible for all consequences resulting from his use of the Site and any content published on the Site. TerraLabs cannot be held responsible for the content published by Users or for the consequences that may result. TerraLabs is committed to removing any clearly illegal content as soon as it is aware of it. Notification of clearly unlawful content may be made by e-mail to info@terralabs.partners and by registered mail with acknowledgement of receipt in accordance with the forms prescribed by law. TerraLabs does not guarantee the validity, completeness or legality of the content published on the Site by Users. Users must take appropriate measures to protect their data and software from contamination by viruses circulating on the Internet. TerraLabs cannot be held responsible for any indirect damage, including any loss of content or damage resulting from the use of or the impossibility of accessing the Site. The Site may contain links to other sites not managed by TerraLabs, and TerraLabs cannot be held responsible for the content of these sites. TerraLabs cannot guarantee that access to the Services will be uninterrupted and reserves the right to temporarily interrupt access for maintenance reasons.

ARTICLE 5: PERSONAL DATA
To manage the relationship with the User, TerraLabs may collect personal data (the “Personal Data”). Personal Data will be kept for the duration of the relationship, plus the applicable limitation periods.

ARTICLE 6: FORCE MAJEURE
TerraLabs cannot be held responsible for any delay or non-performance in the event of force majeure as defined by French case law, including computer attacks, the unavailability of equipment, and interruptions in electronic communications networks.

ARTICLE 7: INTERPRETATION
The CGU express the entire agreement between TerraLabs and the User for the use of the Site. The invalidity of one article of the CGU does not lead to the nullity of the other articles, which retain all their force and scope.

ARTICLE 8: ASSIGNMENT
Each party is prohibited from assigning its rights and obligations under the T&Cs, except in cases of restructuring TerraLabs. The User undertakes to sign any document necessary for the legal and administrative regularization of the transfer of the CGU.

ARTICLE 9: MODIFICATION OF THE TERMS AND CONDITIONS
TerraLabs reserves the right to modify the T&Cs at any time. The User will be invited to accept the changes when connecting to the Site.

ARTICLE 10: APPLICABLE LAW AND DISPUTES
The CGU are subject to French law. Any dispute must be submitted to the competent courts of Paris, even in the event of a warranty claim or multiple defendants.
